Tennis West held a Special General Meeting (SGM) on Friday 13 June. The purpose was to consider proposed amendments to the Tennis West Constitution.
The proposed amendments were developed following an extensive review and consultation process. Feedback was sought from Tennis West members, who are our affiliated tennis clubs and associations, as well as other stakeholders.
The aim of the proposed Constitution amendments was to seek to apply the highest standard of sports governance to our organisation. By undertaking this detailed Constitution review, Tennis West actioned several of the recommendations from the 2024 Board Governance Review commissioned by the WA State Government.
Tennis West was very pleased with the number of delegates who registered to attend the SGM both in person and online using Vero, a new meeting and voting system. Vero provided delegates easy access and secure and unique voting ability. Thank you to all delegates for their adoption of the technology, as it allowed for a well-managed meeting and clear, independently scrutinised voting results.
We also thank all delegates who outlined their views on the various proposed amendments. Everyone who spoke during the meeting or commented online, did so respectfully and articulately, and it was pleasing that so many people came prepared and took the time to pre-read documentation and form their views.
The Explanatory Memorandum detailing the proposed Constitution amendments for consideration at the SGM is below for reference. The following special resolutions were passed with the requisite special majority (75% or more) of votes in favour:
Special Resolution 2.A (Administrative Changes)
Special Resolution 2.C (Objects)
Special Resolution 2. D (Nominations Committee)
Special Resolution 2. F (Director Eligibility)
Special Resolution 2. H (Membership)
Special Resolution 2I (Conduct of the Board)

Full details of the meeting will be set out in draft minutes of the meeting, which will be made available to members in due course for approval at the Annual General Meeting of the association later this year.
Next steps involve implementing the changes to the Constitution that were approved at the meeting. The updated constitution will then be submitted to the Department of Energy, Mines, Industry Regulation and Safety (DEMIRS) per our legal requirements.
The Constitution will obviously not be amended to incorporate the changes or additions put forward in proposed Special Resolutions that did not achieve the requisite special majority. The Board will review the outcome of the SGM and consider feedback expressed by members during the SGM.
Overall, the Board and Management are very pleased that many aspects of the Constitution have been strengthened with good governance. It has also been pleasing to see our members care and engage in this Constitution review process.
Importantly, we are confident that the overwhelming majority of members who participated in the SGM were also pleased with the professionalism and outcomes of the meeting. We thank all the members who, like Tennis West, are looking ahead to the future.
